GENERALITIES
In General, this is „LUMO SOCIAL‟ Product, in other words referred to as „LUMO‟; the cutting edge Social_eCommerce platform.
This document therefore is put forth to govern the product “LUMO”-user/customer relationship. Access to and use of this product and services available through this product are subject to the following terms of service (terms, conditions and notices). By using the Services, you agree to all of the Terms of Service, as may be updated from time to time.
SPECIFICATIONS
LUMO SOCIAL Terms of Service
Welcome to „Lumo Social‟ ("Lumo", "we", "us", "our", or the "Platform"). By using Lumo‟s products, software, services or websites ("Lumo services"), you agree to the following terms and conditions, and any policies, guidelines or amendments thereto that may be presented to you from time to time, including but not limited to Program Policies and Legal Notices (collectively, the "Terms"). We may update the Terms in the future, and you will be able to find the most current version of this agreement at https://www.lumoapp.online/
1. INTRODUCTION
These Terms and Conditions ("Terms") govern your access to and use of the Lumo Social website, mobile applications, services, features, content, communications, and other products made available by Lumo.
By accessing, registering for, or using Lumo Social, you confirm that you have read, understood, and agreed to be legally bound by these Terms.
If you do not agree with these Terms, you must not access or use Lumo Social.
These Terms constitute a legally binding agreement between [YOU] and [LUMO SOCIALNET GROUP Ltd.], the owner/operator of Lumo Social.
2. USE OF SERVICES
„LUMO‟, its subsidiaries and affiliated companies, including your domain administrator ("Lumo") offer Lumo services to you, provided that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the Republic of Rwanda or other applicable jurisdiction.
In order to access certain services, you may be required to provide current, accurate identification, contact, and other information as part of the registration process and/or continued use of Lumo services.
You are responsible for maintaining the confidentiality of your account password, and responsible for all activities that occur under your account. You agree to immediately notify Lumo of any unauthorized use of your password or account or any other breach of security. Lumo cannot and will not be liable for any loss or damage arising from your failure to provide us with accurate information or to keep your password secure.
3. ABOUT LUMO SOCIAL
Lumo Social is a social networking and digital community platform designed to allow users to connect, communicate, share content, discover people and communities, and interact through features made available on the Platform.
Depending on the version of the Platform and your location, Lumo may provide features including:
- User profiles;
- Posts and status updates;
- Photos, videos and other media;
- Comments and reactions;
- Private messaging;
- Communities or groups;
- Following and connections;
- Notifications;
- Search and discovery;
- User reporting and moderation;
- Account verification;
- Advertising or promotional features; and
- Other social or communication features introduced from time to time. We reserve the right to add, modify, suspend, or remove features at any time. 4. APPROPRIATE CONDUCT
You understand that all the “Content" are the sole responsibility of the person from which such Content originated. Lumo reserves the right, but shall have no obligation, to pre-screen, flag, filter, refuse, modify or move any Content available via Lumo services.
You understand that by using Lumo services you may be exposed to content that is offensive, indecent or objectionable, and by finding that do not consider, and in that case you use Lumo services at your own risk though Lumo shall provide our Safeguard preference settings.
You agree that you are responsible for your own conduct and any content that you create, transmit or display while using Lumo services and for any consequences thereof.
You agree to use Lumo services only for purposes that are legal, proper and in accordance with the Terms and any applicable policies or guidelines.
You agree that you will not engage in any activity that interferes with or disrupts Lumo or servers or networks connected to Lumo services. To report any activity or Content that you think may violate the Terms, please go to https://www.lumoapp.online/support. In addition to this agreement, your use of some specific Lumo services is governed by the policies or guidelines specific to those services and which are specifically incorporated into this agreement.
You agree to comply with your company's data usage and privacy policies. Users outside of Rwanda also agree to comply with their own local rules regarding online conduct and acceptable content, including laws regulating the export of data to and from Rwanda or your country of residence.
5. ELIGIBILITY
You must meet the minimum age requirement applicable to your jurisdiction to use Lumo Social.
Unless otherwise permitted by applicable law, you must be at least 18 years old to create an account and use Lumo Social independently.
If Lumo introduces services specifically designed for minors, separate age-specific terms and safeguards may apply.
By creating an account, you represent and warrant that:
1. You meet the applicable minimum age requirement;
2. The information you provide is accurate and complete;
3. You have the legal capacity to enter into these Terms;
4. You are not prohibited by applicable law from using the Platform; and 5. You will comply with these Terms and all applicable laws.
We may require age verification or additional information where reasonably necessary. 6. CREATING AN ACCOUNT
Certain features require you to create a Lumo account.
When creating an account, you agree to provide accurate, current and complete information.
You are responsible for keeping your account information accurate and updated.
You must not:
- Create an account using another person's identity;
- Impersonate another individual or organization;
- Create an account using false information;
- Create multiple accounts for deceptive or abusive purposes;
- Use another person's account without permission;
- Sell, transfer, rent, or otherwise provide access to your account to another person; or - Create an account for the purpose of circumventing a suspension or termination.
We reserve the right to suspend or remove accounts containing misleading, fraudulent, or impersonating information.
7. NI-HE PRIVACY POLICY
By using Lumo services,
You acknowledge and agree that Lumo may access, preserve, and disclose your account information and any Content associated with that account if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) satisfy any applicable law, regulation, legal process or enforceable governmental request, (b) enforce the Terms, including investigation of potential violations hereof, (c) detect, prevent, or otherwise address fraud, security or technical issues (including, without limitation, the filtering of spam), or (d) protect against imminent harm to the rights, property or safety of Lumo, its users or the public as required or permitted by law.
You understand that the technical processing and transmission of Lumo services, including your Content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks, devices or services.
You also understand and agree that your domain administrator may have access to your account and its content, and may suspend or terminate your account access and your ability to modify your account.
8. ACCOUNT SECURITY
You are responsible for maintaining the confidentiality of your login credentials. You must take reasonable steps to protect your password, authentication codes, devices, and other account credentials.
You agree to notify us immediately if you believe:
- Your account has been compromised;
- Someone has accessed your account without permission;
- Your password has been disclosed; or
- There has been suspicious activity involving your account.
You are responsible for activity conducted through your account unless the activity resulted from circumstances outside your reasonable control and you notified us promptly.
Lumo will never intentionally request your password through an unsolicited message. 9. PROPRIETARY RIGHTS
Lumo's Rights
You acknowledge and agree that Lumo services and any necessary software used in connection with Lumo services ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws and treaties. You further acknowledge and agree that Content contained in sponsor advertisements or presented to you through Lumo services is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by Lumo or other proper third party rights holders, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on Content, Lumo services or Software, in whole or in part except as specifically authorized in a separate written agreement. Subject to the Terms, Lumo grants you a personal, non transferable and non-exclusive right and license to use the object code of its Software; provided that you do not (and do not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software, unless such activity is expressly permitted or required by law or has been expressly authorized by Lumo in writing.
You agree not to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to Lumo services.
You agree not to access Lumo services by any means other than through the interface that is provided by Lumo for use in accessing Lumo services except as specifically authorized in a separate written agreement.
Except as expressly authorized by Lumo you agree not to use, copy, imitate, or incorporate any trademark, service mark, trade dress, company name, or product name in a way that is likely to cause confusion among consumers.
You also agree not to remove, obscure, or alter Lumo's or any third party's copyright notice, trademarks, or other proprietary rights notices affixed to or contained within or accessed in conjunction with or through the Lumo services or Software.
Your Rights/Customer rights
Lumo claims no ownership or control over any Content submitted, posted or displayed by you on or through Lumo services. You or a third party licensor, as appropriate, retain all patent, trademark and copyright to any Content you submit, post or display on or through Lumo services and you are responsible for protecting those rights, as
appropriate. By submitting, posting or displaying Content on or through Lumo services which are intended to be available to the members of the public, you grant Lumo a worldwide, non-exclusive, royalty-free license to reproduce, adapt, modify, publish and distribute such Content on Lumo services for the purpose of displaying, distributing and promoting Lumo services.
Lumo reserves the right to syndicate Content submitted, posted or displayed by you on or through Lumo services and use that Content in connection with any service offered by Lumo.
Lumo furthermore reserves the right to refuse to accept, post, display or transmit any Content in its sole discretion.
You represent and warrant that you have all the rights, power and authority necessary to grant the rights granted herein to any content submitted.
10. SOFTWARE AND AUTOMATIC UPDATES
Your use of any Software provided by Lumo will be governed by the Terms and any additional terms and conditions of the end user license agreement accompanying such Software. Lumo Software may automatically report version number or other diagnostic information and may automatically download upgrades to the Software to update, enhance and further develop Lumo services, including providing bug fixes, patches, enhanced functions, missing plug-ins and new versions.
11. USER PROFILES
You may create a personal profile containing information such as:
- Name;
- Profile photo;
- Biography;
- Location;
- Interests;
- Professional information;
- Social connections; and
- Other information you choose to provide.
You are responsible for the information you publish on your profile.
You must not use your profile to:
- Misrepresent your identity;
- Promote fraud;
- Harass another person;
- Promote illegal activities;
- Distribute malicious software;
- Circumvent Platform restrictions; or
- Conduct activities prohibited under these Terms.
12. USER-GENERATED CONTENT
Lumo allows users to upload, publish, transmit, display, or otherwise provide content, including:
- Text;
- Images;
- Videos;
- Audio;
- Comments;
- Messages;
- Posts;
- Reviews;
- Links;
- Profile information;
- Documents; and
- Other materials.
Collectively, this is referred to as "User Content."
You remain the owner of User Content that you create, subject to the rights and licenses granted to Lumo under these Terms.
You are solely responsible for your User Content and the consequences of publishing it. 13. LICENSE TO USER CONTENT
When you upload or publish User Content on Lumo, you grant Lumo a non-exclusive, worldwide, royalty-free, transferable, sublicensable licence to host, store, reproduce, process, display, transmit, distribute, modify, adapt, and otherwise use that content as reasonably necessary to:
- Operate and provide the Platform;
- Display your content to other users according to your settings;
- Improve and develop Lumo;
- Maintain and secure the Platform;
- Moderate content;
- Promote Lumo and its features; and
- Comply with legal obligations.
This license continues for as long as reasonably necessary to provide the relevant service and for legitimate operational, legal, security, backup, and compliance purposes after deletion.
You can control the visibility of certain content through available privacy settings. You represent that you have all rights necessary to grant this license.
14. POLICIES REGARDING CONTENT RIGHTS, COPYRIGHT AND TRADEMARKS
You must not upload, publish, distribute, or otherwise make available content that infringes another person's intellectual property rights.
This includes:
- Copyright;
- Trademarks;
- Trade secrets;
- Patents;
- Designs;
- Privacy rights;
- Publicity rights; or
- Other proprietary rights.
If you believe that content on Lumo infringes your copyright or other intellectual property rights, you may contact us through our designated support or legal contact. We may remove content that we reasonably believe infringes intellectual property rights.
It is our policy to respond to notices of alleged infringement that don‟t comply with Rwanda digital copyright acts or other applicable law and to terminating the accounts of repeat infringers. Any use of Lumo trade names, trademarks, service marks, logos, domain names, and other distinctive brand features must be in compliance with the Terms and in compliance with Lumo's then current Brand Feature use guidelines, and any content contained or reference therein, which may be found at the following URL: https://www.lumoapp.online/ or other URL Lumo may provide from time to time.
15. GENERAL PRACTICES REGARDING USE AND STORAGE
You agree that Lumo has no responsibility or liability for the deletion or failure to store any Content and other communications maintained or transmitted by Lumo services.
You acknowledge that Lumo may have set no fixed upper limit on the number of transmissions you may send or receive through Lumo services or the amount of storage space used; however, we retain the right, at our sole discretion, to create limits at any time with or without notice. Upon the termination of your use of Lumo services, including upon receipt of a certificate or other legal document confirming your death, Lumo will close your account and you will no longer be able to retrieve content contained in that account.
16. PERSONAL NON-COMMERCIAL USE
You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of Lumo services, use of Lumo services, or access to Lumo services except as otherwise expressly provided in the Terms or as specifically authorized in a separate written agreement.
17. MODIFICATIONS TO SERVICE
Lumo reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, Lumo services (or any part thereof) with or without notice. You agree that Lumo shall not be liable to you or to any third party for any modification, suspension or discontinuance of Lumo services.
18. TERMINATION
You may discontinue your use of Lumo services at any time but after handling and successfully serve all respond to the waiting and/or pending calls (“customers”). You agree that Lumo may at any time and for any reason, including a period of account inactivity, terminate your access to Lumo services, terminate the Terms, or suspend or terminate your account. In the event of termination, your account will be disabled and you may not be granted access to Lumo services, your account or any files or other content contained in your account. Sections 18 (Termination), 45 (Indemnity), 46 (Disclaimer of Warranties), 47 (Limitations of Liability), 48 (Exclusions and Limitations) and (including choice of law, severability and statute of limitations), of the Terms, shall survive expiration or termination.
19. ADVERTISEMENTS
Some Lumo services are supported by advertising revenue and may display advertisements and promotions on the service. Such advertisements may be targeted to the content of information stored on the Lumo services, queries made through Lumo services or other information. The manner, mode and extent of advertising by Lumo on its services are subject to change. As consideration for your use of Lumo services, you agree that Lumo may place such advertising and that Lumo shall not be responsible or liable for any loss or damage of any sort incurred by you as a result of the presence of such advertisers on Lumo services or your subsequent dealings with advertisers.
20. LINKS
Lumo services may provide, or third parties may provide, links to other World Wide Web sites or resources. Lumo may have no control over such sites and resources and you acknowledge and agree that Lumo is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources.
You further acknowledge and agree that Lumo shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource.
21. PROHIBITED CONTENT
You must not use Lumo to publish, distribute, request, promote, or facilitate content that:
1. Is illegal under applicable law;
2. Promotes terrorism or violent extremist activity;
3. Encourages violence against individuals or groups;
4. Contains credible threats of harm;
5. Promotes exploitation or abuse of children;
6. Contains sexual exploitation material involving minors;
7. Facilitates human trafficking;
8. Promotes serious criminal activity;
9. Facilitates fraud or financial scams;
10. Contains malicious software;
11. Attempts to steal passwords or authentication credentials;
12. Deliberately distributes malware;
13. Infringes intellectual property rights;
14. Contains non-consensually shared private or intimate material;
15. Doxxes or exposes another person's private information maliciously; 16. Encourages self-harm or suicide;
17. Promotes dangerous illegal activities;
18. Is deliberately deceptive or fraudulent;
19. Constitutes targeted harassment or bullying;
20. Uses automated activity to manipulate Platform features; or
21. Otherwise violates applicable law or these Terms.
22. HARASSMENT AND ABUSE
Lumo does not permit targeted harassment, intimidation, stalking, bullying, threats, or abusive behaviour.
You must not repeatedly contact another user after they have clearly asked you to stop.
You must not:
- Threaten another user;
- Encourage others to harass someone;
- Publish another person's private information to intimidate them;
- Create accounts to evade blocks;
- Coordinate harassment campaigns; or
- Use Lumo to stalk or intimidate another person.
Users may report abusive behaviour through available reporting mechanisms. 23. CHILD SAFETY
Lumo is committed to maintaining a safe environment for users.
We strictly prohibit child sexual exploitation and abuse.
Users must not:
- Sexualise minors;
- Request sexual content involving minors;
- Share sexual content involving minors;
- Groom minors;
- Facilitate sexual exploitation of minors;
- Attempt to arrange sexual activity involving minors; or
- Use Lumo to facilitate trafficking or exploitation of children.
Where legally required or appropriate, Lumo may report suspected child exploitation or other serious illegal activity to relevant authorities.
24. PRIVATE MESSAGES
Lumo may provide private messaging or direct communication features.
Users should understand that no online communication system can guarantee absolute confidentiality or security.
You must not use private messaging to:
- Harass users;
- Send scams;
- Send malware;
- Conduct fraud;
- Send unsolicited bulk messages;
- Distribute prohibited content;
- Threaten users; or
- Conduct illegal activities.
We may process and review information associated with messages where reasonably necessary for security, abuse prevention, legal compliance, or enforcement of these Terms, subject to applicable law and our Privacy Policy.
25. SPAM AND AUTOMATED ACTIVITY
You must not use Lumo to send spam or manipulate Platform functionality.
Prohibited activity includes:
- Automated account creation;
- Bulk messaging;
- Fake engagement;
- Artificially increasing followers or reactions;
- Scraping data without permission;
- Bots designed to manipulate the Platform;
- Automated posting designed to evade Platform controls;
- Phishing;
- Mass unsolicited advertising; and
- Other abusive automated activity.
We may restrict or terminate accounts involved in spam or manipulation. 26. SCAMS AND FRAUD
You must not use Lumo to deceive users or obtain money, property, credentials, or personal information through fraudulent means.
Examples include:
- Fake investment schemes;
- Fake giveaways;
- Romance scams;
- Phishing;
- Fake employment opportunities;
- Fake financial services;
- Identity theft;
- Impersonation scams;
- Advance-fee fraud;
- Fake products or services; and
- Other deceptive schemes.
Lumo is not responsible for losses resulting from transactions or communications between users unless otherwise required by applicable law.
Users should exercise appropriate caution before sending money or personal information to another user.
27. ADVERTISING AND PROMOTIONAL CONTENT
Lumo may display advertisements, sponsored content, promotional messages, or commercial communications.
Advertisers and other third parties are responsible for the products, services, claims, and content contained in their advertisements.
Lumo does not necessarily endorse advertised products or services.
You may be shown advertisements based on information such as your activity on Lumo, general location, preferences, or other information permitted under applicable law and our Privacy Policy.
28. THIRD-PARTY SERVICES AND LINKS
Lumo may contain links to websites, applications, products, or services operated by third parties.
Third-party services are governed by their own terms and privacy policies.
Lumo is not responsible for:
- The availability of third-party services;
- Their content;
- Their security;
- Their privacy practices;
- Their products or services; or
- Transactions between you and third parties.
You access third-party services at your own risk.
29. PLATFORM MODERATION
We may use a combination of automated systems, human review, user reports, and other methods to detect and address violations.
We may:
- Remove or restrict content;
- Reduce the visibility of content;
- Add warnings;
- Restrict specific features;
- Temporarily suspend accounts;
- Permanently terminate accounts;
- Block devices or access methods where appropriate; or
- Take other reasonable enforcement measures.
We are not required to monitor every piece of content posted on Lumo. The absence of immediate enforcement does not mean that content is permitted. 30. REPORTING CONTENT
If you encounter content or behaviour that violates these Terms, you should report it through the reporting tools available on Lumo.
Reports should contain enough information for us to understand the issue. False, malicious, or abusive reporting may itself violate these Terms.
Where appropriate, we may notify users about actions taken in response to reports, subject to privacy, safety, security, and legal considerations.
31. ACCOUNT SUSPENSION AND TERMINATION
You may stop using Lumo at any time.
We may suspend, restrict, or terminate your account if:
- You violate these Terms;
- You violate applicable law;
- Your account creates security risks;
- Your account is involved in fraud or abuse;
- Your activity harms other users;
- Your account is used for spam;
- We are legally required to do so; or
- We reasonably believe action is necessary to protect Lumo, users, or third parties. We may also suspend accounts that appear compromised.
Where reasonably practicable, we may provide notice before termination. However, immediate action may be taken where necessary to prevent harm, fraud, abuse, security threats, or legal violations.
32. EFFECT OF TERMINATION
After termination, you may lose access to your account, profile, messages, connections, and other Platform features.
Some information may remain stored after account termination where required or permitted by law, including information needed for:
- Legal compliance;
- Fraud prevention;
- Security;
- Dispute resolution;
- Enforcement of agreements;
- Accounting;
- Backups; or
- Other legitimate purposes.
Termination does not eliminate obligations that by their nature should continue after termination.
33. PRIVACY
Your use of Lumo is also governed by our Privacy Policy.
Our Privacy Policy explains how we collect, use, store, protect, and disclose personal information.
By using Lumo, you acknowledge that your information may be processed in accordance with our Privacy Policy and applicable data protection laws.
Where applicable, Lumo will seek to comply with relevant Nigerian data protection requirements, including requirements under the Nigeria Data Protection Act 2023, as amended or replaced from time to time.
34. DATA SECURITY
We implement reasonable technical and organisational measures designed to protect information handled through Lumo.
However, no internet-based service can guarantee absolute security.
You acknowledge that:
- Internet transmission may involve risks;
- No security system is completely impenetrable;
- Your device and network security are partly your responsibility; and - You should use strong passwords and appropriate security measures.
If we become aware of a qualifying security incident, we will take appropriate steps in accordance with applicable law.
35. INTELLECTUAL PROPERTY OWNERSHIP
Except for User Content and third-party materials, Lumo and its licensors own or control the intellectual property associated with the Platform.
This may include:
- Lumo branding;
- Logos;
- Website design;
- Software;
- Source code;
- User interface;
- Graphics;
- Text;
- Features;
- Databases;
- Trademarks;
- Service marks; and
- Other proprietary materials.
You may not copy, modify, distribute, sell, lease, reverse engineer, or commercially exploit Lumo's proprietary materials without written permission, except where permitted by law.
36. LUMO TRADEMARKS
"Lumo Social", "Lumo", the Lumo logo, and other Lumo branding are trademarks or trade names belonging to [LUMO SOCIALNET GROUP Ltd.] or its licensors, where applicable.
You may not use Lumo trademarks in a way that suggests endorsement, sponsorship, affiliation, or ownership without prior written permission.
37. ACCEPTABLE USE OF THE PLATFORM
You agree to use Lumo only for lawful purposes.
You must not:
- Attempt to gain unauthorised access to the Platform;
- Interfere with Platform infrastructure;
- Circumvent security measures;
- Reverse engineer the Platform except where legally permitted;
- Introduce malicious code;
- Overload or disrupt servers;
- Scrape information through unauthorised methods;
- Attempt to bypass content restrictions;
- Manipulate Platform ranking systems;
- Create fraudulent accounts;
- Sell accounts;
- Circumvent suspensions; or
- Otherwise interfere with normal Platform operation.
38. USER TRANSACTIONS
Lumo may allow users to communicate about products, services, opportunities, events, or transactions.
Unless Lumo expressly provides and operates a transaction or payment service, Lumo is not a party to transactions between users.
Users are responsible for independently evaluating the identity, legitimacy, and reliability of people or businesses they interact with.
If Lumo introduces payment or marketplace features, additional payment terms may apply.
39. PAYMENTS
Certain Lumo services may require payment.
Where applicable, before completing a transaction, we will provide information about the applicable price or fee.
Payments may be processed by third-party payment providers.
By making a payment, you agree to comply with the applicable payment provider's terms.
Unless otherwise stated:
- Fees are payable in the currency displayed at checkout;
- Taxes may apply;
- Third-party payment processing fees may apply; and
- Refunds are subject to the applicable refund policy.
We reserve the right to change pricing, provided that applicable legal requirements are satisfied.
40. REFUNDS
Where Lumo charges for a service, refund eligibility will depend on the nature of the service, the applicable refund policy, and applicable law.
Where required by law, users will retain their statutory consumer rights.
If you believe you have been incorrectly charged, contact Lumo support with: - Your account information;
- Transaction reference;
- Date of transaction;
- Amount charged; and
- Description of the issue.
41. CONTENT AVAILABILITY
We do not guarantee that:
- The Platform will always be available;
- Any feature will remain available;
- Content will never be lost;
- Services will always operate without interruption;
- The Platform will be free from errors; or
- Content will always be accurate.
We may temporarily suspend services for maintenance, security, upgrades, emergencies, or other operational reasons.
42. CHANGES TO LUMO
We may modify, update, suspend, or discontinue any part of Lumo.
Changes may include:
- New features;
- Removal of features;
- Changes to interface;
- Changes to technical requirements;
- Changes to pricing;
- Changes to Platform policies; or
- Changes to available services.
We will make reasonable efforts to provide notice of material changes where required.
43. DISCLAIMERS
To the maximum extent permitted by applicable law, Lumo is provided on an "as available" and "as is" basis.
We do not guarantee that Lumo will:
- Meet every user's requirements;
- Be uninterrupted;
- Be completely secure;
- Be completely error-free;
- Be free of harmful components; or
- Produce any particular result.
Information posted by users does not necessarily represent the views of Lumo.
Lumo does not guarantee the identity, background, intentions, qualifications, or conduct of users.
You are responsible for exercising appropriate judgment when interacting with other users.
44. USER INTERACTIONS AND OFF-PLATFORM CONDUCT
You are responsible for your interactions with other users.
Lumo is not responsible for disputes, injuries, losses, fraud, or other harm. 45. INDEMNITY
You agree to hold harmless and indemnify Lumo, and its subsidiaries, affiliates, officers, agents, employees, advertisers, licensors, suppliers or partners, (collectively "Lumo and Partners") from and against any third party claim arising from or in any way related to your use of Lumo services, violation of the Terms or any other actions connected with use of Lumo services, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature. In such a case, Lumo will provide you with written notice of such claim, suit or action.
46. DISCLAIMER OF WARRANTIES
You expressly understand and agree that:
A. Your use on Lumo services is at your sole risk. Lumo services are provided on an "As Is" and "As Available" basis.
To the maximum extent permitted by law, Lumo and partners expressly disclaim all warranties and conditions of any kind, whether express or implied, including, but not
limited to the implied warranties and conditions of merchantability, fitness for particular purpose and non-infringement.
B. Lumo and partners do not warrant that (I) Lumo services will 100% meet your requirements, (II) Lumo services will be uninterrupted, timely, secure, or error free, (III) The results that may be obtained from the use of Lumo services will be accurate or reliable, (IV) The quality of any products, services, information, or other material purchased or obtained by you through Lumo services will meet your expectations, and (V) Any errors in the software will be corrected.
C. Any material downloaded or otherwise obtained through the use of Lumo services is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or other device or loss of data that results from the download of any such material.
D. No advice or information, whether oral or written, obtained by you from Lumo or through or from Lumo services shall create any warranty not expressly stated in the terms.
47. LIMITATION OF LIABILITY
You expressly understand and agree that Lumo and partners shall not be liable to you for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses; even if Lumo or partners have been advised of the possibility of such damages; resulting from: (i) the use or the inability to use Lumo services; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from Lumo services; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on Lumo services; or (v) any other matter relating to Lumo services.
48. EXCLUSIONS AND LIMITATIONS
Nothing in this agreement is intended to exclude or limit any condition, warranty, right or liability which may not be lawfully excluded or limited. Some jurisdictions do not allow the exclusion of certain warranties or conditions or the limitation or exclusion of liability for loss or damage caused by negligence, breach of contract or breach of implied terms, or incidental or consequential damages. Accordingly, only the above limitations in sections 46 and 47 which are lawful in your jurisdiction will apply to you and our liability will be limited to the maximum extent permitted by law.
49. NO THIRD PARTY BENEFICIARIES
You agree that, except as otherwise expressly provided in the Terms, there shall be no third party beneficiaries to the Terms.
50. NOTICE
You agree that Lumo may provide you with notices, including those regarding changes to the Terms, by email, regular mail, or postings on Lumo services.
51. GENERAL INFORMATION
The Entire Agreement
The Terms, including any policies, guidelines or amendments that may be presented to your form time to time such as Program Policies and Legal Notices, constitute the entire agreement between you and Lumo and govern your use of Lumo services, super ceding any prior agreements between you and Lumo for the use of Lumo services. You also may be subject to additional terms and conditions that may apply when you use or purchase certain other Lumo services, affiliate services, third-party content or third-party software.
Choice of Law and Forum
The Terms and the relationship between you and Lumo shall be governed by the laws of the Republic of Rwanda without regard to its conflict of law provisions. You and Lumo agree to submit to the personal and exclusive jurisdiction of the courts located within the county.
Waiver and Severability of Terms
The failure of Lumo to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.
Statute of Limitations
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of Lumo services or the Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section headings in the Terms are for convenience only and have no legal or contractual effect.
